Deregister a foreign investment company in Shanghai

If you have a company in Shanghai but it's been dormant for a while and still cost you ongoing fees, you may want to have the company deregistered. The following 3 steps may be helpful.

Step 1. Go to the Committee of Foreign Economy and Trade Cooperation to deregister your items of investment.

Step 2. Complete the deregistration procedures of taxation authority and customs house.

Step 3. Come to the registration hall to apply for deregistration of foreign investment company, you need present documents a below:
(i) Documents to be submitted for deregistration of foreign investment company.
1. Requisition for deregistration of foreign investment company (affiliate and agency) signed by the legal person.
2. Resolution of board of directors.
3. Written reply about deregistration issued by governing authority.
4. Duty-paid proof issued by taxation authority.
5. Duty-paid proof issued by customs house.
6. Report of completion of credit and debit or liquidation credit and debit.
7. Proof of company announcement.
9. Other pertinent documents and credentials.
(ii) Documents to be submitted for deregistration of affiliate (agency) of foreign investment enterprise.
1. Requisition for deregistration of foreign investment company (affiliate and agency) signed by the legal person.
2. Resolution of board of directors.
3. Business License or Registration Certificate and stamp.
4. Other pertinent documents and credentials.
(iii) Documents to be submitted for deregistration of affiliate (agency) in Shanghai of foreign Investment enterprise in other provinces.
1. Requisition for deregistration of foreign investment enterprise (affiliate and agency) signed by the legal person.
2. Resolution of board of directors.
3. Copy of business license of parent company.
4. Duty-paid proof issued by taxation authority.
5. Business License or Registration Certificate and stamp.
6. Other pertinent documents and credentials.
